PRINCIPLES OF LONG-TERM AND SUSTAINABLE DEVELOPMENT WITH DEALERS

  1. Willing to share profits with dealers, share opportunities, share business benefits, and accompany dealers in a long-term and sustainable manner.
  2. Care for and support dealers, as well as provide cooperative assistance to strengthen the bond between dealers and distributors/manufacturers.
  3. Provide maximum protection for dealers against market fluctuations.
  4. Protect dealers’ customers and ensure fairness throughout the entire distribution system.
  5. Collaborate with dealers to expand their market and distribution channels.

1/ PERIODIC PURCHASE DISCOUNT:

  • Based on the quarterly committed sales volume, dealers will be eligible to participate in a purchase discount program exclusive for dealers.
  • Upon reaching the committed purchase volume, dealers will receive a discount based on the agreed-upon rate at the beginning of the quarter.
  • This DISCOUNT policy is independent and implemented in parallel with other business support or incentive programs from the manufacturer/distributor.

2/ PRICING POLICY AND PRICE PROTECTION:

Purchase price:

  • Based on purchase performance and other cooperation commitments, dealers will be entitled to pricing policies according to their dealer level.
  • Pricing policies are designed to ensure competitiveness and maximize dealer profit in the market.
  • If the manufacturer or distributor lowers the selling price, dealers are protected on the same type of products according to the inventory quantity and product codes verified within 30 days from the price reduction notice.
  • If the manufacturer or distributor increases the selling price, dealers will be notified at least 15 days and up to 30 days in advance to adjust their purchasing plans accordingly.

Customer protection for dealers:

  • Dealers are encouraged to expand their market to increase the customer base and become exclusive major dealers in assigned areas.
  • Dealers are assigned a dealer code, which should be provided to customers. When these customers contact the distributor directly, the distributor will request the code and refer the customer back to the dealer accordingly.
  • If retail customers contact the distributor directly, the distributor will direct them to the dealer in their residing area.
  • The distributor protects the dealer’s development rights in new locations for a minimum of 3 months and a maximum of 6 months across the distribution channel.

3/ FRAMEWORK AGREEMENT AND ACCOUNTS PAYABLE:

Framework agreement:

  • Once both parties sign the framework agreement, the dealer will be added to the distributor’s preferred list and entitled to dealer policies from the distributor.

Accounts payable:

  • Dealers must make full payment (100%) before goods are delivered.
  • Based on the cooperation results and payment history, dealers may receive better incentives regarding credit and debt policies.
  • If a dealer provides a one-year bank guarantee based on their financial capacity and business needs, they may receive a credit limit from 40% to 70% with a maximum debt period of 30 days.

4/ SUPPORT POLICIES:

PR – Marketing support:

  • Dealers will be supported with catalogues, leaflets, banners, etc. as per distributor programs. Dealer information will be advertised alongside the distributor on mass media and the website Miraridoctor.vn.
  • Dealers are eligible to participate in all promotion and sales programs of the manufacturer and distributor.
  • Dealers will be issued certificates recognizing them as official dealers of the manufacturer and distributor.
  • Dealers will receive updated information about prices, products, policies, marketing programs, and sales support materials.

Technical and solution support:

  • Dealers receive technical support via phone, on-site support upon request, and support from manufacturer technicians in cases beyond the dealer’s handling capacity.
  • Dealers receive training according to dealer level and product line, covering technology and sales knowledge as per programs by the manufacturer or distributor.
  • For tenders or projects, dealers will receive technical and solution consultancy and support from the manufacturer/distributor upon request.

Product support:

  • Product exchange: Within 7 days from invoice date, dealers may exchange faulty products (confirmed as manufacturer’s fault). If no replacement is available, the distributor will provide maximum support to resolve the issue.
  • Product return: If goods or prices differ from the agreed terms, dealers may return products to the distributor within 7 days from the invoice date and signed delivery record.
  • Demo/sample products: Dealers may borrow demo/sample products for new product launches or store openings. Please contact the distributor in advance when needed.

5/ REQUIREMENTS FOR DEALERS:

  • Dealers manage their registered territory, develop customers, and expand the market independently.
  • Proactively build a strong sales network using ethical and professional methods.
  • Dealers expanding to new locations will receive maximum support and exclusive protection under the first-come, first-served principle, provided they notify the distributor/manufacturer in advance.
  • Dealers must plan business activities, customer development, and product promotion in their registered or protected areas.
  • If within 3–6 months of registration the dealer does not take action, protection rights will be transferred to the next registered dealer.
  • For market expansion, the distributor may independently organize development programs and inform surrounding dealers or post notices on the official website. Dealers may register to participate under the first-come, first-served principle.
  • Support the distributor during promotional or advertising campaigns at the dealer’s business location.
  • Do not trade in products of unclear origin.
  • Maintain end-user pricing at levels equivalent to the distributor’s suggested retail price. No undercutting.
